At RPLF, We Build the Foundations of Your Construction Projects with Comprehensive Legal Solutions, Ensuring Success, Stability, and Excellence at Every Phase of the Project, Focusing on High Precision and Compliance with the Highest Legal Standards.
Construction and building projects play a vital role in achieving urban and economic development in communities around the world. These projects are not limited to the construction of buildings and facilities alone, but also include the development of infrastructure such as roads, bridges, airports, and transportation networks, which contribute to facilitating the movement of individuals and goods between different cities and geographical areas. Furthermore, these projects enhance the carrying capacity of cities and improve the quality of life for their residents by providing suitable housing and public facilities such as schools and hospitals, which in turn support sustainable population growth and urban expansion.

In addition, construction and building projects are a major economic driver, providing numerous job opportunities and attracting both foreign and local investments. Activity in this sector stimulates growth in related industries such as building materials, engineering, and design, thereby enhancing overall economic productivity. Furthermore, the development of infrastructure contributes to improving economic efficiency by reducing transportation and distribution costs and opens doors to more commercial and industrial opportunities, enhancing the competitiveness of the national economy on an international level. From this perspective, investing in construction and building projects is an investment in the future of urban and economic development of any country.

At RPLF, we represent our clients in drafting and executing international construction and building contracts. We have a comprehensive understanding of the standard FIDIC contracts developed by the International Federation of Consulting Engineers (Fédération Internationale Des Ingénieurs-Conseils), which are widely used for various types of both international and local construction projects. These have been modified and developed multiple times to address emerging legal issues.
FIDIC contracts are known by various names based on the color of their covers and are divided into several main types of contract models, each tailored to meet the needs of different construction projects. They include both general and specific terms and provide a framework for dealing with various contractual, technical, and financial aspects of these projects, helping to distribute risks between the involved parties in a balanced manner. The key FIDIC contracts include the Conditions of Contract for Construction (Red Book), Conditions of Contract for Plant and Design-Build (Yellow Book), Conditions of Contract for EPC/Turnkey Projects (Silver Book), Conditions of Contract for Design, Build and Operate Projects (Gold Book), the Short Form of Contract (Green Book), and the Client/Consultant Model Services Agreement (White Book).

Additionally, we efficiently represent our clients in negotiating, drafting, and reviewing BOT (Build-Operate-Transfer) and BOOT (Build-Own-Operate-Transfer) contracts, which are commonly used in major infrastructure projects, especially those involving public-private partnerships. BOT contracts allow the contractor to build and operate the project and then transfer it to the public sector after a specified period. During the operational period, the contractor is allowed to collect revenue from the project to cover investment and operational costs and earn a profit. The BOOT contracts include one major difference: the contractor is allowed to own the project during the operational period. This means that in addition to recovering the construction and operational costs through revenue, the contractor also legally owns the project during this period, and after the agreed period, the ownership of the project is transferred to the public sector at no cost.

The main difference between FIDIC contracts and BOT contracts lies in their issuance and development. FIDIC contracts are issued by the International Federation of Consulting Engineers and are recognized globally as standard models used in a wide range of construction and building projects. In contrast, BOT contracts do not follow a standardized model; they are drafted and developed specifically for each project based on public-private partnerships. This means that the details and terms of BOT contracts vary based on the specific agreements between the parties involved in the project, making each contract unique and tailored to meet the specific needs of that project.
At RPLF, we ensure comprehensive legal support at all stages of a construction project, from inception to completion, focusing on risk assessment and compliance with relevant laws and regulations to facilitate a smooth and effective construction process.
